These Terms and Conditions (“Agreement”) constitute an agreement between SOFTINX LTD (“we”, “our”, “us”) and the entity engaging our services (“Client”, “you”). By commissioning our IT consultancy or software development services, you agree to be bound by these terms together with any accepted quotation, proposal or Statement of Work.
1. Engagement and scope
We provide bespoke business and domestic software development, web-based systems, digital enquiry platforms, automation setup and information technology consulting services. Project specifications, deliverables, exclusions, commercial terms and responsibilities will be defined in a quotation, proposal or Statement of Work agreed before commencement.
2. Client cooperation
The Client agrees to provide clear requirements, a primary contact, timely feedback, necessary content and any access required to deliver the agreed service. Technical access information must only be provided voluntarily and through an agreed secure method. Client-caused delays may affect delivery dates and charges.
3. Intellectual property
Upon full payment of all outstanding invoices, ownership of final custom deliverables will transfer to the Client to the extent stated in the agreed proposal. We retain rights in pre-existing intellectual property, reusable methods, proprietary tools, scripts and third-party or open-source components, which remain subject to their applicable licences.
4. Payment terms
Payments are made by bank transfer against professional invoices. Deposits and milestone payments will be stated in the proposal. We may suspend work and withhold deliverables if an invoice is overdue. Third-party licences, subscriptions and hosting are excluded unless expressly included.
5. Changes
Requests outside the agreed scope may require a revised quotation, delivery plan or written change approval. We will explain the likely effect before carrying out additional chargeable work.
6. Cancellation
A Client may request cancellation by calling +44 7853 165404 or emailing softinxltd@inbox.eu. Written email confirmation may be required. Fees remain payable for work completed, committed third-party costs and resources reasonably allocated up to the effective cancellation date. Consumer rights, where applicable, are not affected. 7. Limitation of liability
Nothing excludes liability that cannot lawfully be excluded. Subject to that, SOFTINX LTD will not be liable for indirect or consequential losses, including loss of profit, data or business opportunity. Our aggregate liability for a claim will not exceed the fees paid for the service giving rise to it.
8. Confidentiality
Each party will protect confidential business, project and technical information and disclose it only where necessary to perform the service or comply with law.
9. Governing law
These terms and related disputes are governed by the laws of England and Wales, subject to any mandatory consumer rights that apply.
